1. About these Terms

1.1. These Terms of Service (the “Terms”) are a public offer by AKACORP GLOBAL TECH LLC (“AKASOFT”, “we”, “us”). We offer to enter into an agreement with any business that wants to use WaBizBox, a shared team inbox for WhatsApp, on the terms below.

1.2. The offer is addressed to legal entities and sole traders who use WaBizBox for their business. WaBizBox is not meant for personal, family or household use.

1.3. Please read these Terms in full before you use WaBizBox. If you do not agree with them, in whole or in part, do not use the service.

1.4. When you accept these Terms (section 3), an agreement between you and AKASOFT is concluded on these Terms. The Data Processing Agreement forms part of that agreement. The Privacy Policy explains how we handle the personal data we control.

1.5. Visiting wabizbox.com or booking a demo does not create this agreement. The Privacy Policy explains how we handle your details when you do.

1.6. The current version of these Terms is always available in full at wabizbox.com/legal/terms.

2. Definitions

2.1. In these Terms, these words have the following meanings:

WaBizBox was named WhatsBizPro until 31 October 2026. Privacy PolicyThe policy at /legal/privacy on how we handle the personal data we control.

3. Accepting these Terms

3.1. You accept these Terms, and the DPA with them, in one of two ways:

  1. Sign-up. When sign-up on our website is open: you tick the box on the sign-up form that says you agree to these Terms and the DPA, and you send the form. Your business is created, and the agreement concluded, when you confirm your email address with the six-digit code we send you.
  2. Set-up by AKASOFT. While sign-up is closed, we set up businesses ourselves. You then accept these Terms and the DPA by confirming to us in writing, by email for example, that you accept them, or by paying our first invoice, whichever happens first.

3.2. When you sign up, we record which version of these Terms and of the DPA you accepted, the language you read them in, the business name, the email address of the person who accepted, and the time you sent the sign-up form. We keep this record as evidence of the agreement, also after your business is deleted, for as long as claims about the agreement can be brought.

3.3. The person who accepts these Terms confirms that they are at least 18 years old and have the authority to bind the business.

3.4. An agreement concluded in this way has the same force as one signed on paper, to the extent the law of the Republic of Uzbekistan allows.

3.5. If, despite clause 1.2, the law treats you as a consumer, the rights that consumer law gives you and that a contract cannot exclude still apply. Nothing in these Terms limits them.

4. The service

4.1. We give you the right to use WaBizBox as a service over the internet, within your plan, for the term of the agreement (clause 8.7). You pay for it and use it in line with these Terms.

4.2. The service includes:

  • one shared inbox for several WhatsApp numbers, where your team takes over, assigns and closes chats, and uses internal notes, saved replies and files;
  • rule-based automation: menus, buttons, lists, questions, WhatsApp Flows forms, exact keywords, working hours and transfer to a human agent;
  • broadcasts of Meta-approved templates to customers recorded as opted in to marketing messages;
  • contacts and labels, import of contacts from CSV, export of contacts as CSV, and records of marketing opt-in with the exact wording asked;
  • customers’ WhatsApp calls to your numbers, answered in the browser, with a call history;
  • reports, email alerts and notifications;
  • admin and agent roles, access per number, sessions and an activity log;
  • a picture viewer that reads text from a customer’s photo on the agent’s own computer, without sending the picture anywhere.

4.3. The automation is not artificial intelligence. It follows the steps your admins build, and anything it does not recognise goes to your team. You decide its steps and texts, and you are responsible for them.

4.4. At the date of these Terms, the service does not include: connecting numbers yourself (we connect them with you, section 6); calling customers from the desk; recording calls; online payments; two-factor sign-in for your team; export of all your data (contacts can be exported as CSV); or artificial intelligence of any kind.

4.5. The service is provided electronically, over the internet. Nothing is installed on your equipment and nothing is delivered physically. You need a current web browser and an internet connection.

4.6. We are not a party to your relationship with your customers. We are not responsible for the content of your messages, for your goods and services, or for what you owe your customers.

4.7. We do not promise that you will achieve any particular business result by using WaBizBox.

4.8. We may improve and change the service. We will not remove a feature from your plan during a period you have already paid for, unless a change by Meta (section 5), the law or a security risk leaves us no choice. If that happens, we will tell you as early as we can.

5. Meta and the WhatsApp Business Platform

5.1. WaBizBox works on Meta’s WhatsApp Business Platform (the WhatsApp Cloud API). You have your own agreement with Meta. Meta is not a party to this agreement and is not our subcontractor for your WABA.

5.2. You must, at your own cost:

  • have and keep your own business portfolio, WABA and messaging account;
  • accept and follow Meta’s terms, including the opt-in rules for messages your business starts;
  • complete Meta’s business verification where Meta requires it;
  • keep a valid payment method on your messaging account;
  • keep your display name, templates and quality rating in good standing.

5.3. You authorise AKASOFT to use Meta’s APIs for your WABA, messaging account and numbers on your behalf, as your solution provider, to provide the service to you.

5.4. Meta charges you directly for messages. At the date of these Terms, Meta charges per delivered message, by category, to the payment method on your messaging account, and sends you its own invoices. Meta decides what is charged; Meta’s invoice is what counts. Our prices are for the software only. We do not resell or mark up Meta’s charges, and our prices do not include them.

5.5. Meta decides, among other things: whether templates are approved, paused or recategorised; your messaging limit and quality rating; business verification; your display name; whether calls are available; and its own prices and rules. Meta may refuse, pause, limit or end any of these. We are not responsible for Meta’s decisions, availability, prices or changes. They can change what WaBizBox is able to do.

5.6. To message a customer outside the 24-hour customer service window, you need an approved template.

5.7. A connected number cannot be used on the WhatsApp or WhatsApp Business app at the same time. Chats in the app are not brought over to WaBizBox.

5.8. Customers’ calls to your number work only when Meta’s conditions are met and the number is set up for them: a messaging limit of at least 2,000, a payment method on your messaging account, and calls switched on for the number in the desk’s settings. Your team answers in Chrome or Edge on a computer; on a phone, calls work on a best-effort basis. Calls are not recorded.

5.9. At the date of these Terms, WaBizBox does not receive messages from customers whom Meta identifies only by a username, without a phone number. Those messages are not shown in the desk.

5.10. Meta sends your numbers’ messages to every app subscribed to your WABA. Which apps you subscribe, other than WaBizBox, is your choice and your responsibility.

6. Connecting your numbers

6.1. You cannot yet connect a number yourself. AKASOFT connects your numbers together with you.

6.2. Before we can connect a number, you need, at Meta:

  • a business portfolio, and business verification where Meta requires it;
  • a phone number your business owns, not in use on the WhatsApp or WhatsApp Business app;
  • a display name;
  • a payment method on your messaging account, for Meta’s charges;
  • AKASOFT assigned as a partner on your WABA and your messaging account, or an access token for your WABA that you give us.

6.3. Once these are ready, you ask us to connect the number, in the desk or by email to info@akasoft.io. We aim to connect it within a few working days. Meta’s own steps, business verification especially, can take several days and are outside our control.

6.4. If you give us an access token for your WABA, we store it encrypted at rest with AES-256-GCM, and the key is kept outside the database and outside our backups. If you assign AKASOFT as a partner instead, the desk reaches your numbers with AKASOFT’s own access token, which is kept in our server’s settings, outside the database and outside our backups. Either way, we use our access to your WABA and messaging account only to provide the service to you.

6.5. You can remove our partner access, or withdraw a token, at Meta at any time. The numbers it covers then stop sending and receiving messages in WaBizBox. The agreement itself continues until it ends under section 15.

7. Your account and your team

7.1. Your first admin is created at sign-up, or by us when we set up your business. Admins invite people by email and choose each person’s role (admin or agent) and the numbers they answer.

7.2. You are responsible for your team’s actions in WaBizBox as for your own. Anything done through a team member’s account is treated as done by your business.

7.3. You decide who has access, and you remove access when someone should no longer have it. Deactivating a person in the desk signs them out everywhere at once.

7.4. Each person uses their own account and keeps their password secret. Accounts must not be shared. If you think someone has got into an account without permission, change the password, end the sessions you do not recognise, and tell us at info@akasoft.io.

7.5. You give us accurate information about your business and your billing details, and you tell us when they change.

8. Plans, term, limits and trial

8.1. Every plan includes every feature of the service. Plans differ by the number of team members, numbers and chats a month. You can pay monthly or yearly.

8.2. The plans, their limits and their prices are published on the Pricing page. Where the Pricing page shows a plan as “Pricing on request”, the plan, its limits and its price are those we agree with you in writing, in a quote, an order form or the invoice.

8.3. If you go over a limit of your plan, we tell you and agree with you a plan that fits your use, from your next period. We do not charge for going over a limit unless we have agreed it with you in writing.

8.4. Free trial: only if we agree one with you in writing. We do not charge you automatically when a trial ends: we take no card payments, and you pay only against our invoice (section 9). If you do not choose a plan when the trial ends, we may close the account under section 15.

8.5. You can ask us to change your plan. We confirm the change and the date it takes effect, and the next invoice follows it.

8.6. The Billing page in the desk shows your plan, this month’s usage and Meta’s message counts by category. It is a record only: no payments are made there. Your admins can also say there how you would like to pay, by invoice or by card. That is a preference only: we take no card payments yet, and you pay as clause 9.5 sets out.

8.7. Term and renewal. The agreement runs from the moment it is concluded (clause 3.1) until it ends under section 15. It has no fixed end date. Your plan runs in periods of a month or a year, as agreed. Each period is followed by the next, with the same plan and length, unless you cancel (section 15) or we agree a change (clause 8.5). We invoice each period as clause 9.3 sets out. Nothing is charged automatically when a period starts, because we take no card payments (clause 9.5).

8.8. Your plan is paid up to the end of the period of the last invoice you have paid (clause 9.6). If a new period starts and its invoice is not paid by its due date, section 14 applies.

9. Prices, invoices and payment

9.1. The price of your plan is the one on the Pricing page on the day you accept, or the one agreed with you under clause 8.2. Prices are in the currency stated on your quote or invoice. Whether a price includes taxes, such as VAT, is agreed with you together with the price.

9.2. Our prices cover WaBizBox only. Meta’s charges for messages are separate, and you pay them to Meta (clause 5.4).

9.3. We invoice each period of your plan in advance, at or before its start, unless your quote or order form says otherwise.

9.4. We issue invoices for the plan. Each invoice is shown on the Billing page in the desk and emailed as a PDF to the invoice email you give us. The due date is on the invoice. If none is set, payment is due 7 days after the invoice is issued.

9.5. You pay by: bank transfer against our invoice, or another way we agree with you in writing. We take no card payments online and never ask for your card details.

9.6. We record each payment against its invoice. A payment that covers an invoice marks it paid, and your plan is then paid up to the end of the invoice’s period.

9.7. An invoice, once issued, is not changed. If one is wrong, we cancel it, with the reason, and issue a new one.

9.8. We may change our prices by giving you at least 30 days’ notice. A change does not apply to a period you have already paid for.

9.9. Refunds: we do not refund fees for a period that has started, except in these cases. We refund the part of a fee paid in advance that covers the time after your access ends, in proportion to that time, where we end the agreement without giving a reason or because Meta stops us from providing the service to you (clause 15.6), or where you end it over a change to these Terms or the DPA, or over a new sub-processor (clause 15.10). We also refund where the law requires it.

9.10. If an invoice is not paid on time, section 14 applies.

10. Your responsibilities and acceptable use

10.1. You must have a lawful basis for processing your customers’ personal data, and tell your customers about it in your own privacy notice. That notice should explain that you use AKASOFT as your processor and Meta as your WhatsApp provider.

10.2. Before you send marketing messages, you must obtain and record each customer’s opt-in, as the law and Meta’s terms require, and you must respect opt-outs. The desk sends broadcasts only to customers recorded as opted in. It leaves out customers who opted out or were never asked, customers who stopped marketing messages in WhatsApp, and US numbers, to which WhatsApp delivers no marketing templates. You remain responsible for making sure that every opt-in you record is real and lawful.

10.3. You must not use WaBizBox to:

  • send spam, or bulk messages to people who have not agreed to receive them;
  • send or store content that is unlawful, or that infringes anyone’s rights;
  • commit fraud or phishing, or ask customers for passwords, card details or one-time codes;
  • harass, threaten or deceive anyone, or pretend to be someone you are not;
  • offer goods or services that Meta’s terms or the law forbid;
  • process personal data for which you have no lawful basis.

10.4. You must not:

  • copy, decompile or modify the software, except where the law allows it;
  • get around the service’s security, limits or technical restrictions, or test its security without our written permission;
  • collect data from the service by automated means, except through features we provide;
  • put an unreasonable load on the service;
  • resell or give access to the service to anyone outside your business without our written agreement.

10.5. WaBizBox is not designed for special categories of personal data (such as health, religion or biometric data). Do not design forms or automation to collect them unless we have agreed this in writing and you have a lawful basis. The DPA sets out the details.

10.6. WaBizBox does not check the age of your customers. If your customers include children, you are responsible for following the rules that apply to them, including any need for parental consent.

10.7. Your automation texts, templates, forms and broadcasts are yours. You are responsible for making sure they comply with the law and Meta’s terms.

10.8. A breach of this section may lead to suspension under section 14.

11. Your data and your customers’ data

11.1. Your content belongs to you. We get no rights in it, other than the right to process it to provide, secure, back up and support the service for you.

11.2. For your customers’ personal data, you are the controller and we are your processor, acting on your instructions. The Data Processing Agreement sets out the terms, and it forms part of these Terms.

11.3. For the personal data of your team, your billing contacts and the person who signs up, we are the controller. The Privacy Policy explains how we handle it.

11.4. Meta processes your messages, calls and their details under your own agreement with Meta. Meta is your provider, not our sub-processor (section 5).

11.5. We use a small number of sub-processors to run the service. Annex 2 of the DPA lists them and the DPA says how we tell you about changes. Today they are Hostinger, for hosting; Cloudflare, for the network that carries traffic to the service; Resend, for sending email and receiving email sent to our wabizbox.com addresses; and Google, whose Google Workspace holds the mailbox where our team reads email. Your data is stored on one server in Mumbai, India.

11.6. We do not sell your content, use it for advertising, or use it for any other business. WaBizBox has no artificial intelligence, and we do not use your content to train any.

11.7. Email alerts go to the team address you set for each number. They contain the customer’s name, why they are waiting, and their last message or their form answers. You choose those addresses and are responsible for who can read them.

11.8. How long data is kept while the agreement runs:

DataHow long it is kept
Chats, messages, contacts, form answers, consent records and call historyFor as long as your account exists, until you ask us to erase a customer (clause 11.9), or until your business is deleted after the agreement ends (section 15). Message text is not deleted automatically.
Files sent by customers and your team (pictures, documents, audio and video)For the period your admin sets for each number: from 1 to 3,650 days, 365 days unless changed. The file is then deleted; the line in the chat stays.
Notifications30 days.
BackupsMade every night and kept for at most 30 days, on the same server as the service.

11.9. You answer your customers’ requests about their data. If a customer writes to us, we pass the request to you and tell them we have done so. When you ask us in writing, with your own reference, we erase a customer’s data from your business within 10 working days and confirm it to you. Erased data stays in backups for up to 30 days, until those backups are deleted in rotation, and it stays erased if a backup is ever restored. At the date of these Terms there is no screen in the desk for doing this yourself.

11.10. Our backups are kept on the same server as the service, not at a separate site. A failure that affects that server could affect the backups too. Keep your own copies of data that matters to you; admins can export contacts as CSV from the desk.

11.11. We protect your data with the technical and organisational measures described in the DPA. No system is completely secure, and we do not promise that the service will never suffer a security incident. If one affects your customers’ data, we tell you as the DPA says.

11.12. We keep daily totals for each business (counts of messages, templates, Meta’s charges by category, chats, calls and storage) to run plans, billing and support. These counts contain no message content and are kept after chats are deleted.

12. Access by AKASOFT staff

12.1. WaBizBox has no feature that lets our staff sign in to your desk as one of your team.

12.2. Our staff manage businesses in a separate tool of ours. There they see counts (such as the number of messages and chats), your team list (names, email addresses, roles and when each person was last seen) and your plan, invoices and payments. They do not see message text, or your customers’ names or numbers.

12.3. The people who run our server can technically reach the data stored on it. They access it only to run, secure, back up, restore and repair the service, to carry out an erasure you ask for, or where the law requires. Only the staff who run the server have this access, and they reach it with SSH keys.

12.4. What we do to your business from our tool, such as suspending it, silencing its automation, changing its plan, issuing invoices or scheduling its closing, is written in your activity log as done by AKASOFT.

13. Support and availability

13.1. We give support by email at info@akasoft.io, on working days. We aim to reply within one working day.

13.2. We work to keep WaBizBox available and working well. We do not promise any particular level of availability, and we do not promise that the service will be uninterrupted or free of errors.

13.3. We may need to interrupt the service for maintenance or urgent fixes. Where we can, we tell you about planned work in advance and do it when the service is least used.

13.4. Some causes of interruption are outside our control, including Meta’s platform, the internet, mobile networks, and your own devices, browser and connection.

14. Suspension

14.1. We may suspend your business at once if:

  • WaBizBox is used for fraud, phishing or spam;
  • content is sent or stored that the law forbids;
  • your use puts the security or working of the service, or other businesses, at risk;
  • Meta, a court or an authority requires it.

14.2. For any other breach of these Terms, we tell you what is wrong and give you 10 working days to put it right. If you do not, we may suspend your business, or end the agreement under section 15.

14.3. If an invoice is still unpaid 7 days after its due date, we may suspend your business, once we have told you.

14.4. While your business is suspended, your team is signed out and cannot sign in. Your customers’ messages still arrive and are kept, and your automation keeps answering. Your customers will get no reply from a person until the suspension ends, and you remain responsible to them.

14.5. Separately from suspension, we may silence your automation on all your numbers, for example where it breaks the law or Meta’s terms. New chats then wait for your team.

14.6. We lift a suspension once its reason is resolved, for example when the overdue invoice is paid. Suspension does not stop charges for the period it falls in.

15. Cancellation and the end of the agreement

15.1. You can cancel at any time. An admin asks to cancel on the Billing page in the desk, or you write to us at info@akasoft.io and we record the request for you. The Billing page then shows the dates in clause 15.2. We confirm them to you by email and help you export your data. Until your access ends, an admin can withdraw the request on the Billing page.

15.2. After you cancel, things happen in this order:

StepWhen
Your access endsAt the end of the calendar month in which you asked to cancel. If your plan is paid beyond that month (clause 8.8), for example for a year paid in advance, we move the end of your access to the end of the paid period and confirm the new date to you by email. On that date the desk closes your business by itself (clause 15.3).
You can export your dataFor 30 days after your access ends.
Your data is deletedWithin the following 30 days, so at the latest 60 days after your access ends. AKASOFT carries out the deletion.
Copies in backupsDeleted in rotation within 30 days after that.

15.3. When your access ends, your team is signed out and can no longer sign in, and your automation stops answering. Messages your customers send after that are still received and kept until your data is deleted, unless you first remove our access at Meta (clause 6.5). Let your customers know how to reach you.

15.4. Before your access ends, your admins can export contacts as CSV from the desk. During the export period, you ask us and we help you. Exports beyond contacts: on your written request, we provide other data we hold for you, as far as we reasonably can, in a common machine-readable format.

15.5. After your business is deleted, we still keep: invoices and payments, for as long as accounting and tax law require; the records of the documents you accepted, for as long as claims about the agreement can be brought; the lines of our erasure and opt-out logs, which hold only internal reference numbers, never a customer’s number or name; and the daily counts in clause 11.12. If you ask, we confirm the deletion to you in writing. The DPA gives the details.

15.6. We may end the agreement without giving a reason by giving you at least 30 days’ notice; your access then ends when the notice period ends. We may also end it if a breach is not put right under clause 14.2, or if Meta stops us from providing the service to you. In those two cases we give you as much notice as we can, and your access ends on the date our notice gives, even if that is before the end of a period you have paid for. Any refund for a period already paid follows clause 9.9.

15.7. However the agreement ends, the export period, the deletion and the other steps in clauses 15.2 to 15.5 run from the date your access ends.

15.8. Ending the agreement does not cancel what you owe for the service up to the end of your access.

15.9. Clauses that by their nature continue after the agreement ends do so, including sections 11, 15, 16, 17, 18 and 21.

15.10. Ending over a change. If you do not accept a change to these Terms (clause 20.3) or to the DPA (DPA 15.4), or you object to a new sub-processor and we find no solution together (DPA 9.5), you can end the agreement early instead of cancelling under clause 15.1. Write to us at info@akasoft.io before the change, or the new sub-processor, takes effect, and name the day your access is to end, at the latest the day before it takes effect. Your access ends on that day, even if it is before the end of a period you have paid for, and we refund the part of a fee paid in advance for the time after it (clause 9.9). The other steps in clause 15.2 run from that day (clause 15.7).

16. Intellectual property

16.1. AKASOFT owns all rights in WaBizBox: its software, design, interface, documentation, and the WaBizBox name and logo. We give you a limited, non-exclusive, non-transferable right to use the service for your business during the agreement.

16.2. Your rights in your content stay with you. You confirm that you have the rights to the content you put into WaBizBox, and you allow us to use it only as far as needed to provide the service to you.

16.3. We may use your suggestions about WaBizBox freely, without paying for them.

16.4. We will name your business as a client, or show your logo, only with your written permission.

16.5. WhatsApp is a trademark of Meta Platforms, Inc. WaBizBox is not affiliated with, endorsed by or sponsored by Meta.

17. Confidentiality

17.1. Each of us keeps confidential the non-public information the other shares under this agreement, and uses it only for this agreement.

17.2. This does not apply to information that is public through no fault of the receiving party, that it already had or obtained lawfully from someone else, or that it must disclose by law. Where the law allows, the party that must disclose tells the other first.

17.3. How we handle your customers’ personal data is governed by the DPA.

18. Liability

18.1. You are responsible to your customers for your messages, your offers, your goods and services, and what you owe them.

18.2. We are not liable for:

  • your content, or the actions of your team;
  • the acts, decisions, outages, prices or rule changes of Meta;
  • failures of the internet, mobile networks or power supplies, and of your own devices and connection;
  • loss of data that you could have avoided by keeping your own copies (clause 11.10);
  • loss of profit, revenue or goodwill, or any indirect loss.

18.3. Our total liability to you under or in connection with the agreement is limited to the fees you paid us for WaBizBox in the 12 months before the event that gave rise to the claim.

18.4. Clauses 18.2 and 18.3 do not apply where the law does not allow liability to be limited or excluded.

18.5. You compensate us for losses and costs from claims by others caused by your breach of these Terms, including claims about rights in your content, your processing of personal data, your marketing messages, or Meta’s terms.

18.6. Apart from what these Terms say, the service is provided as it is and as available.

19. Force majeure

19.1. Neither of us is liable for failing to perform because of events beyond our reasonable control, such as natural disasters, war, acts of government, large-scale failures of communications or power, large-scale cyberattacks, or restrictions on internet access imposed by a state.

19.2. The party affected tells the other promptly.

19.3. If such an event lasts more than 30 days, either of us may end the agreement by notice.

20. Changes to these Terms

20.1. We may change these Terms. We publish each new version at wabizbox.com/legal/terms, with its version number and the date it takes effect.

20.2. We tell your business about a change at least 30 days before it takes effect, by email or in the desk.

20.3. If you keep using WaBizBox after a change takes effect, you accept the new version. If you do not agree with it, you can end the agreement before it takes effect, under clause 15.10.

20.4. Price changes follow clause 9.8.

21. Complaints, disputes and governing law

21.1. These Terms and the agreement are governed by the law of the Republic of Uzbekistan.

21.2. If you have a complaint, write to us at info@akasoft.io. We answer within 15 working days.

21.3. We both try to settle any dispute by negotiation first. Sending a written complaint under clause 21.2 and waiting for our answer is a required step before going to court.

21.4. If the dispute cannot be settled, it goes to the competent economic court at AKASOFT’s location. Where clause 3.5 applies, the court rules that consumer law sets apply instead.

22. Final provisions

22.1. The agreement consists of these Terms, the DPA, and any quote, order form or invoice agreed under clause 8.2. If they conflict, the DPA prevails on personal data, and the agreed quote, order form or invoice prevails on plan and price.

22.2. These Terms are written in English. If we publish them in another language, the English version prevails where the two differ.

22.3. If a provision of these Terms is found invalid, the rest remains in force.

22.4. If either of us does not enforce a right at once, that does not mean we give it up.

22.5. You may not transfer the agreement to anyone else without our written consent. We may transfer it to a company that takes over WaBizBox, after telling you.

22.6. We send notices to your admins’ email addresses or your invoice email, or show them in the desk. You send notices to us at info@akasoft.io.
